Major Issues in English Company Law (with comparative study of PRC’s Company Law) |

Exclusive to post graduate students at China University of Political Science and Law in March/April 2007 |

In 2004, an optional course on English Commercial Law was introduced for the first time in English for post graduate students. The same teacher from Canada taught a 36 hour module in spring 2007: Major Issues in English Company Law (including Mergers and Acquisitions and Joint Ventures). |

It was based on the one successively concluded at the Renmin University in autumn, 2006, which was registered by 118 post graduate students, including 10 doctoral candidates. |

The PRC’s Company Law 2005 was revamped and came into effect on 1.1.2006. Issues such as minority shareholders’ protection and representative action are part of English company law for many years are now part of Chinese company law. |

The course covered all salient features of English company law, including corporate governance, ultra vires transactions, duties and liabilities of company directors, business organizations and the consequences of incorporation. Insider trading and market manipulation was also covered in view of the need for Chinese lawyers to have a grasp of securities regulation prevailing in overseas jurisdictions. Corporate governance of listed joint stock Chinese companies was also gaining nation wide interest in view of the financial scandals surfaced not only in China but in North America as well.

早在2004年，用英文授课的英国商事法课程曾第一次开设。这位从加拿大不远而来的教授今年春季再次回来，开设“英国公司法主要问题（包括并购和合资企业）”课程。 |

课程的基础是2006年秋季在人民大学成功开设的同一课程，该课有118名研究生同学（包括10名博士研究生）踊跃报名。 |

中国公司法在2005年修订，并在2006年1月1日生效。热点问题包括少数股东的保护和代表诉讼制度，而这些制度多年都是英国公司的一部分，现在也成为中国公司法的一部分。 |
